What is Guardian Media Group?
Guardian Media Group (GMG) is one of the UK’s leading media organisations. We exist to support quality, independent, liberal journalism. Our core business is Guardian News & Media, which publishes the Guardian and the Observer newspapers and the theguardian.com website. We also have a diverse portfolio of investments to help support our journalism. We are wholly owned by the Scott Trust, which was established in 1936 to secure the ongoing independence of the Guardian.

What is the Scott Trust?
The Scott Trust is a private company and the sole shareholder in GMG. It was founded in 1936 as a trust and exists to secure the financial and editorial independence of the Guardian in perpetuity. The shareholders of the Trust take no dividend from the business. All of GMG’s profits are reinvested to support the Trust’s core purpose.

What is the relationship between Guardian Media Group and the Guardian?
GMG is the parent company of the Guardian. However, editorially the Guardian is completely independent from the commercial entity that owns it. The editor-in-chief is appointed by and reports directly to the Scott Trust, not the board of GMG.

What is Guardian Media Group’s tax position?
GMG is a privately owned company incorporated in the UK and subject to UK tax law. When GMG makes taxable profits, it pays full corporation tax. The group has paid more than £130 million in tax since 2001, and HMRC deems GMG to be low risk. GMG has not paid corporation tax in recent years because it has been in loss. In 2008 GMG sold half of Auto Trader publisher Trader Media Group and made an exceptional (one-off) profit of more than £300 million. No tax was payable on the return from that sale because under UK law GMG qualified for SSE (the substantial shareholdings exemption).

Is the Scott Trust a charity?
No, the Trust is not a charity. From 1936 to 2008 it was a trust, and since 2008 it has been a limited company. The Trust fulfils its community responsibilities through a registered charity, the Scott Trust Foundation, whose trustees are also directors of the Scott Trust.
